Terms of Trade
Standard commercial terms for export orders placed with Spheronix Exports LLP.

Quotations & Orders
Quotations are valid for the period stated on the quotation (typically 7–15 days, subject to raw material markets). Orders are confirmed on receipt of a signed proforma invoice and the agreed advance payment.
Samples
Pre-shipment samples of 250–500g are provided free of charge for qualified buyers, with courier charges borne by the buyer. Commercial supply follows buyer approval of the sample and its Certificate of Analysis.
Payment
- New buyers: 100% advance by telegraphic transfer (T/T), or irrevocable Letter of Credit at sight.
- Established buyers: negotiable terms, typically 30% advance and 70% against Bill of Lading copy.
- All bank charges outside India are for the buyer's account.
Delivery & Risk
Shipments are made under the agreed Incoterm (FOB, CIF, CFR or EXW — Incoterms 2020). Risk transfers according to the agreed Incoterm. Production lead time is typically 15–20 working days from order confirmation, confirmed per order.
Quality & Claims
Every shipment carries a batch Certificate of Analysis from a NABL-accredited laboratory. Claims must be notified in writing within 15 days of container arrival, supported by independent surveyor or laboratory evidence. Our liability is limited to replacement of non-conforming goods or refund of their invoice value.
Force Majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including crop failure, port congestion, government action or natural events. Affected timelines are extended accordingly.
Governing Law
These terms are governed by the laws of India. Disputes are subject to the jurisdiction of the courts of Bhavnagar, Gujarat, after good-faith negotiation between the parties.
